1. DEFINITION AND OBJECT OF THE CONTRACT

1.1 - This contract (“Contract”) is a distance contract pursuant to Article 50 et seq. of Legislative Decree No. 206 of September 6, 2005 (“Consumer Code”). The Contract has as its object the sale of movable goods between ART DECOR SUITES srl (owner of the brand Art Decor Suites) (“Art Decor Suites”) and the consumer (the “Customer”).

The Contract is concluded directly through the acceptance of a purchase proposal issued by the Customer via the Internet, following the invitation to offer contained in the website Ercolano.it (the “Site”) and/or through other distance selling systems of Art Decor Suites, on the basis of the methods described in Article 3 below.

1.2 These general terms and conditions of sale (“General Conditions”) and, in particular, the information referred to in Article 52 of the Consumer Code, as provided by Art Decor Suites, and set out in the Site, will remain valid and effective until they are amended and/or supplemented by Art Decor Suites srl. Any amendments and/or supplements to the General Conditions will be effective as of the date on which they are communicated to the public and will apply to sales made as of that date. The latest updated version of the General Conditions is the one available on the Site.

2. SALE PRICES

2. The sales prices of the products illustrated, on the Site and/or through any other distance selling systems of Art Decor Suites are exclusive of VAT and any other taxes.

3. MODE OF PURCHASE AND PAYMENT

3.1 - The Contract by telephone is finalized by notifying the Customer (who has contacted Art Decor Suites by telephone and formulated, on that occasion, a purchase proposal while also providing the operator with the data necessary for the procedure of registering his or her name, the purchase order and the payment method chosen) that the proposal is accepted.

3.2 - In the case of purchase proposals sent via the Site, the Customer will receive a summary e-mail from Art Decor Suites, informing him/her that his/her purchase proposal is being processed and will be deemed accepted, unless otherwise notified by e-mail or telephone transmitted by Art Decor Suites within the term of 1 (one) calendar day from receipt of the summary e-mail. Once this deadline has elapsed, the Internet Contract shall be deemed perfected.

3.3 - Orders will be processed within 48 hours of receipt of the e-mail summary of the purchase order.

3.4 - Payments may be made by bank transfer payment method.

4. DELIVERY OF PRODUCTS - COMPLAINTS

4.1 - Art Decor Suites delivers the products to the address indicated by the Customer within 4 working days for shipments in Italy and within 4 working days for shipments abroad.

5. AVAILABILITY OF PRODUCTS

Art Decor Suites accepts the Customer's orders within the limits of the quantities of the requested products existing in stock. Therefore, the acceptance by Art Decor Suites of the purchase proposal forwarded by the Customer IS subject to the stock availability of the products themselves. Art Decor Suites undertakes to promptly notify the Customer of any unpredictable out-of-stocks due to excess demand or other causes.

6. WARRANTIES AND ASSISTANCE

For products purchased by the Customer, the rules on warranties and assistance relating to the sale of consumer goods are applicable to Art Decor Suites.

7. OBLIGATIONS OF THE CUSTOMER

The Customer represents and warrants: (i) that he/she is a consumer in accordance with the provisions of Article 3 of the Consumer Code; (ii) that he/she is of legal age; (iii) that the data provided by him/her for the execution of the Contract are correct and true.

8. RIGHT OF WITHDRAWAL

8.1 - The Customer has the right to withdraw from the contract concluded, without penalty and without specifying the reason, within 7 days of receipt of the products. The Customer may exercise his or her right of withdrawal, within the aforementioned period, by expressing it in writing at the Art Decor Suites office referred to in art. 4, to be sent by registered letter with acknowledgement of receipt or by telegram, telex, e-mail or telefax.

8.2 - The Customer who intends to make use of the right of withdrawal must return the products to the address indicated on the invoice, following the instructions therein, within 7 days of receipt of the products. Pursuant to Article 55, second paragraph, of the Consumer Code, the Customer shall not have the right of withdrawal in the following cases: - supply of audiovisual products or sealed software, opened by the Customer; - supply of custom-made or personalized products, or which by their very nature, cannot be returned or are likely to deteriorate or alter rapidly (e.g. cosmetics, flowers, foodstuffs); - supply of newspapers, periodicals and magazines.

8.3 - The costs of returning the products are the responsibility of the Customer. Art Decor Suites will return, within 7 days from the date of receipt of the products by the Client: (i) the full price paid by the Client in case of return of the product complete with all its parts and functionalities; or the part of the price equivalent to the product actually returned by the Client who has worn out the product appreciably and/or such as to significantly diminish its value.

8.4 - The return of the money by Art Decor Suites towards the Customer will take place through the same method of payment with which the Customer had initially settled the amount of the order.

9. JURISDICTION

The Contract is governed by Italian law. Any disputes will be governed by the Italian Legislation in force. The place of jurisdiction is Sorrento (NA) Italy.
